Terms and Conditions

This User Agreement (“Agreement”) constitutes a legally binding contract between You (the “Organisation”, “you”, “your”), whose details are included in the Company Information section of your BillPro profile, and BillPro Ltd. (“BillPro”, “we”, “us”, “our”).
In this Agreement, BillPro and the Organisation are collectively referred to as the Parties, and individually as a Party.
This Agreement consists of the following sections:
- Scope of Agreement and Position of BillPro
- Your Registration with BillPro
- Services Provided to You
- Your Obligations
- Payments and Balances
- Security and Confidentiality
- Privacy
- Final Conditions & Stipulations
By creating an account or using the BillPro Platform, you agree to be bound by the terms of this Agreement.
Definitions
Account
The account created within the BillPro Platform, enabling configuration of Payment Methods, recording of Transactions, and management of balances held on your behalf by your Financial Institution.
Agreement
This Terms and Conditions document.
Balance
Funds held by your Financial Institution, after deduction of fees, refunds, Reversals, chargebacks, and reserve amounts retained for risk mitigation.
Chargeback
A Transaction reversal initiated by a Financial Institution or Customer.
Customer(s)
Your end-customers who pay you for goods and/or services via the Payment Module.
BillPro Platform
The hosted web application provided by BillPro through which you process payments, view Transactions, configure settings, and access billing, analytics, and reporting features.
Error Message
A technical error or system failure that prevents use of the BillPro Platform or Payment Module as intended.
Financial Institution(s)
Banks or regulated payment institutions—including card acquirers—connected to the Payment Module and responsible for authorising, clearing, and settling Transactions.
Fraud
Intentional misuse of the Payment Services, Payment Information, Personal Data, or BillPro Dashboard.
Intermediary / Intermediaries
Payment networks, card schemes (Visa, Mastercard, etc.), processors, technical providers, or regulators that participate in the authorisation and settlement of Transactions.
Marks
Logos, trademarks, trade names, and intellectual property used by BillPro or by Payment Method providers.
Organisation
The legal entity contracting with BillPro and using BillPro services to sell goods and/or services to Customers.
Outage
An unplanned service interruption that prevents the Payment Module from functioning as agreed.
Payment Information
Any personal, financial, or transactional information used to process a Transaction.
Payment Method
Any payment type offered by BillPro and used by Customers (e.g., card payments).
Payment Module
The technical system enabling submission of Transactions to Financial Institutions, displaying payment statuses, and exporting transaction records.
Payment Services
All payment processing operations performed by BillPro and its partners.
Personal Data
Data relating to an identifiable natural person.
Refund
A full or partial reversal initiated by the Organisation.
Security Measure
Anti-fraud controls implemented by BillPro or its partners.
Solution
A remedy implemented by BillPro to resolve an Error Message or Outage.
Transaction(s)
Orders initiated via the Organisation’s website or BillPro Platform and submitted for processing to Financial Institutions.
Updates
Corrections or patches to the BillPro Platform.
Upgrades
Feature enhancements or security improvements.
Website
Any site or mobile app maintained by the Organisation.
SECTION 1 — SCOPE OF AGREEMENT & POSITION OF BILLPRO
1.1 Scope of Agreement
This Agreement governs all interactions between you and BillPro. It remains enforceable after termination unless explicitly superseded.
Any other conditions are rejected unless BillPro agrees to them in writing.
1.2 Position of BillPro
BillPro is a technical payment platform operator.
BillPro:
- enables you to create payment orders
- routes Transactions to Financial Institutions
- does not provide banking or acquiring services
- is not responsible for goods or services you sell
- is not a party to your contract with Customers
BillPro services may be provided:
- directly by BillPro
- through Third-Party Providers
- through partner Financial Institutions
Any reference to BillPro includes these partners where relevant.
SECTION 2 — REGISTRATION WITH BILLPRO
2.1 Registration
Only legal entities may register.
Individuals using BillPro for personal/family purposes are prohibited.
To begin:
- Create an account on the BillPro Platform
- Add a merchant account via:
- Stripe Connect, or
- CardCorp merchant onboarding
2.2 Using Stripe
If using Stripe:
- you must complete Stripe’s Connect onboarding
- you must authorise BillPro to process payments through your Stripe account
- you must agree to all Stripe terms
2.3 Using CardCorp
If using CardCorp:
- you must complete CardCorp’s onboarding
- CardCorp assesses eligibility
- you must submit entity details & UBO information
- you must enter a direct merchant agreement with the Financial Institution
- rates are determined by the Financial Institution
2.4 Platform Access
Your email becomes your username.
You must:
- choose a strong password
- verify your email
- keep credentials confidential
- notify BillPro immediately in case of loss/theft
2.5 Disclosure of Business URLs
You must register:
- all URLs where you accept payments
- associated trade names
BillPro may suspend service for:
- unregistered URLs
- misleading trade names
- non-compliant payment flows
2.6 Acceptable Use
You must not use BillPro for illegal or prohibited content.
BillPro may immediately terminate service for:
- obscene, defamatory, illegal, or harmful content
- misuse of Payment Methods or Brands
- misleading Customers
- damaging brand integrity of card schemes or BillPro
2.7 Verification & Monitoring
BillPro may periodically verify:
- business legitimacy
- transaction patterns
- risk indicators
You may be required to provide:
- invoices
- financial statements
- ID documents
- compliance materials
2.8 Consent for Data Checks
By registering, you authorise BillPro and its partners to:
- perform identity checks
- perform creditworthiness checks
- share application data with Financial Institutions
SECTION 3 — SERVICES PROVIDED BY BILLPRO
3.1 Platform & Module Availability
BillPro will make reasonable efforts to maintain uptime, but:
- uptime is not guaranteed
- maintenance may occur
- features may be added/removed
- BillPro may terminate access immediately for Agreement violations
The following actions constitute unlawful or prohibited use:
- selling illegal goods/services
- failure to deliver purchased items
- GDPR violations
- hacking or system abuse
- fraudulent activity
- misleading Customers or partners
3.2 Payment Methods
Each Payment Method has its own:
- fees
- settlement timelines
- risk profile
- dispute rules
BillPro may:
- add or remove Payment Methods
- deny access to specific methods
3.3 Foreign Currency
When accepting foreign currencies:
- Financial Institutions convert currency at their buying rate
- conversion includes mark-up fees
- mark-up is typically 2.5%, unless otherwise agreed
SECTION 4 — YOUR OBLIGATIONS
4.1 Prohibited Activities
You may not use BillPro for:
- illegal goods/services
- narcotics
- high-risk financial products
- certain medical or regulated items
- gambling
- stolen goods
- pornographic/obscene material
BillPro may immediately suspend your account if suspected of violations.
4.2 Legal Compliance
You must comply with all:
- consumer laws
- e-commerce laws
- delivery obligations
- privacy laws
- card scheme rules
4.3 Website Information Requirements
You must clearly display:
- physical address
- support email + phone
- pricing
- delivery terms
- refund and cancellation terms
- subscription terms (if applicable)
Failure to provide this information may result in additional BillPro risk review charges.
SECTION 5 — PAYMENTS & BALANCES
5.1 Safeguarding
BillPro never holds your funds.
Funds are held and settled by your Financial Institution only.
5.2 Rates
Stripe
- Stripe charges its own fees
- BillPro charges a platform fee for Stripe users
- first 10,000 units of processed volume per account are free
- above that, a 1% platform fee applies
CardCorp
- BillPro charges no direct platform fee
- your Financial Institution charges acquiring fees
- CardCorp pays BillPro via referral arrangements
5.3 Transactions
BillPro is not a party to Transaction contracts or disputes.
5.4 Reversals, Refunds, Chargebacks
You are fully liable for:
- chargebacks
- refund costs
- penalties
- excessive reversal fees
- associated investigation costs
BillPro may withhold funds, suspend service, or adjust risk requirements.
5.5 Funds
Your Financial Institution deducts:
- fees
- chargebacks
- penalties
- reserves
Remaining amounts are paid to your designated bank account.
5.6 Settlements
Financial Institutions may:
- change settlement frequency
- delay payouts
- suspend settlements in case of suspected Fraud
SECTION 6 — SECURITY & CONFIDENTIALITY
6.1 Fraud
BillPro may immediately suspend services if:
- Fraud is detected
- there is suspicion of Fraud
- investigation is required
6.2 Security Measures
BillPro may implement security controls, including:
- 2FA
- fraud scoring
- account verification
- risk limits
You must:
- implement appropriate security measures
- protect credentials
- prevent misuse of cards
- comply with PCI-DSS where applicable
6.3 Confidentiality
Both Parties must keep:
- confidential information private
- use it only for contractual purposes
- disclose only when legally required
SECTION 7 — PRIVACY
This section summarises privacy obligations.

7.1 Data Processing Roles
Both Parties act as independent Data Controllers for data they process for their own purposes.
7.2 Protection of User Data
You must:
- inform Customers that BillPro processes payments
- comply with GDPR
- secure Personal Data
- comply with PCI-DSS
- notify BillPro of breaches within 48 hours
7.3 Your Privacy Rights
You may:
- request access
- request correction
- request deletion
- request portability
7.4 Rights of Your Customers
You must:
- inform Customers of their data rights
- redirect them appropriately to BillPro or yourself
SECTION 8 — FINAL CONDITIONS & STIPULATIONS
8.1 Third-Party Clause
Financial Institutions may rely on and enforce relevant portions of this Agreement.
8.2 Indemnification
You indemnify BillPro for claims arising from:
- misuse of the Payment Module
- your Website defects
- your privacy law violations
- your unlawful acts
8.3 Liability
BillPro’s liability is limited to:
- direct losses only
- maximum of fees earned by BillPro in the past 6 months
- absolute maximum of €10,000 per incident
- claims expire after 3 months unless acknowledged
8.4 Force Majeure
Neither Party is liable for events outside its control, including:
- outages
- cyberattacks
- network failures
- natural disasters
- regulatory changes
- platform failures by providers
8.5 Intellectual Property
All IP rights to:
- the BillPro Platform
- the Payment Module
- Marks
- software
- documentation
remain exclusively with BillPro.
You may not:
- modify
- copy
- decompile
- reverse engineer
- distribute
- sublicense
any BillPro system.
8.6 Fair Use Policy
The platform is for legitimate payment collection only.
BillPro may:
- impose additional fees
- restrict usage
- suspend accounts
if usage violates fair use thresholds.
8.7 Outages & Support
You must:
- report Outages promptly
- cooperate with investigations
- provide Customer support to your own Customers
BillPro will:
- investigate Outages
- provide reasonable technical support during business hours
8.8 Term & Termination
The Agreement:
- begins when accepted
- continues indefinitely
- can be terminated with 1 month notice
- may be terminated immediately for breach, insolvency, or fraud
8.9 Miscellaneous
This Agreement:
- supersedes prior agreements
- may be amended by BillPro with 1 month notice
- is governed exclusively by Gibraltar law
- must be litigated in Gibraltar courts
- may be transferred by BillPro at any time
- requires your consent to transfer (except pre-authorised to BillPro-designated transferees)
The Organisation warrants that:
- it is legally authorised to enter into this Agreement
- the individual accepting the Agreement is duly authorised
